Unified Manufacturing - Terms & Conditions

Unified Manufacturing respects and adheres to the Content Delivery and Storage Association (CDSA), formerly IRMA, Anti-Piracy Compliance Program, which protects property rights owners from the unauthorized recording or distribution of their content.

You represent and warrant to Unified Manufacturing:

  • (1.) 'MADE IN AMERICA' or 'MADE IN USA' cannot be added onto vinyl record packaging because we have to comply with the US government's new policy regarding manufacturing goods with some parts that are sourced out from other countries:
  • (2.) that you are the true and rightful owner of, or are licensed or otherwise possess legally enforceable rights to use the registered and unregistered rights, titles, and interests in and to any trademarks, service marks, trade names, copyrights, or other intellectual property rights relating to the materials provided to Unified Manufacturing by you under this agreement, including but not limited to the right to reproduce, manufacture and otherwise use the materials:
  • (3.) that you and Unified Manufacturing are not, or will not be, as a result of the execution and delivery of this agreement or the performance by Unified Manufacturing of the obligations hereunder, in violation of any intellectual property rights of third parties; and
  • (4.) that no claims with respect to your intellectual property rights or third party intellectual property rights in the materials are currently pending, nor to your knowledge, are threatened by any person, nor, do grounds for any such claims exist.
  • (5.) no refunds for any reason unless agreed upon by Unified manufacturing.

You agree to indemnify, defend, protect, and hold harmless Unified Manufacturing and its subsidiaries and their respective officers, directors, agents, affiliates, distributors, franchisees, and employees (collectively, “indemnified parties”) against any liabilities, losses, claims, damages, punitive damages, causes of action, lawsuits, administrative proceedings including interest from the date of such damages, and costs and expenses including without limitation; reasonable attorneys’ fees and disbursements of every kind, nature, and description (collectively, “damages”) suffered, sustained, incurred, or paid by the indemnified parties in connection with, resulting from, or arising out of, directly or indirectly any claim, demand, proceeding, or lawsuit by a third party based on any assertion that the services provided to you under this agreement breaches the patent, copyright, trademark, trade secret, or other proprietary right of such third party and/or any breach of any representation or warranty you set forth in this agreement or the form, Intellectual Property Ownership Agreement, Purchase Order, or in any other form or document in connection herewith.

Unified Manufacturing reserves the right, at its sole discretion, to investigate the ownership of any and all materials provided hereunder.

You agree to provide Unified Manufacturing, upon request, all necessary documentation of ownership or other legal rights, including without limitation all pertinent copyright and licensing information. By reserving these rights, Unified Manufacturing does not assume any obligation to investigate or verify ownership of any materials provided by you, and Unified Manufacturing may rely on your representations and warranties herein and provided under Unified Manufacturing’s Intellectual Property Rights Form even if Unified Manufacturing investigates such ownership.

If Unified Manufacturing determines, or has any reason to believe, that you do not have the authority to produce the products sought hereunder, Unified Manufacturing will have no further obligation to provide any products or any other services with respect to such materials, and will return such materials to you.

Shipping Issues
If the shipment’s tracking states that it was delivered, but your customer hasn’t received it, Unified won’t cover the cost of reshipping or refunding the order. If your customer can’t locate the package, you can place a new manual order to have it reshipped at your expense.
If the shipment bounces back from a wrong address that you or your end customer provided and is considered insufficient by the courier, the shipment will be returned to our facility. You will be liable for reshipment costs once we have confirmed an updated address with you (if and as applicable).
If the shipment is lost in the mail by the currier Unified will not be liable for the cost to reprint the order. You or your end customer will be liable for the cost to reprint and send out a replacement order.
Switching garments If you or your customer already placed the order and you want to change the size you will need to alert Unified immediately, if you do not contact us in time the order will already be printed or shipped. If the order has been printed already you will be charged for the new shirts being reprinted in their change of size. If the order has already shipped we will need them returned to us in unused condition before we can reship the new sizes.
If an item is being returned because of an incorrect print or bad quality print we will accept the cost of the transaction, however this will still need to be processed within 4 weeks of the date of the delivery and be in like-new condition. We will issue you or your customer a return label and reprint the item at our cost to send again. However if an item is considered bad quality because of a poor image resolution provided by you this will not be covered by us.
Garments received
Unified is not responsible for any and all parts, packages, and garments that are shipped to our warehouse without warning and due diligence. This means that if you have not received written confirmation of an order with a subsequent Unified PO and send your garments to us anyway you will be billed a penalty per each box on top of a reshipment fee. Any and all garments shipped without a PO attached to the garment box will be billed at $75.00 per box as well as return shipping charges.
Exchange and Return Orders Policy
Size exchanges
Wrongly ordered sizes won’t be eligible for refunds from Unified’s side either. We make everything on demand, so requesting a size exchange would mean producing an entirely new product. We can offer your customers a return label to your cost in exchange for a new size also at your cost.
Exchanges
We allow exchanges of unwashed, unaltered items within 4 weeks of the date of delivery. We are not responsible for return/exchange items until they arrive back at our facility. Once we receive the order back at our warehouse, we will process the exchange. Please take note that the exchange process may take a few weeks.
If it has been longer than 4 weeks since the item was delivered to the customer, we, unfortunately, cannot exchange or refund you for it. If the size or item you are requesting is out of stock when we receive your exchange, we will contact you to confirm the next steps.
Kindly note, after receiving your exchange and inspecting the condition of your item(s), we will process your request. We reserve the right to deny an exchange request pending the condition of the item(s) returned.
If an item is being returned because of an incorrect print or bad quality print we will accept the cost of the transaction, however this will still need to be processed within 4 weeks of the date of the delivery and be in like-new condition.
The following items cannot be returned or exchanged:
  • Opened music items
  • Worn, washed, dirty, or damaged apparel
  • Items with traces of human/animal hair
  • Items that smell of smoke, body odor, perfume, etc.
  • Any other items not in like-new condition
Returns
We accept unwashed, unaltered, like-new items for return within 4 weeks of the date of delivery. We reserve the right to deny a return pending the condition of the item(s) returned
Please note that we do not refund orders for buyer’s remorse. Returns for products as well as size exchanges are to be offered at your expense and discretion. If you choose to accept returns or offer size exchanges to your end customers, you would need to place a new order at your expense for a product in another size. If the item is received back and is not in like-new condition, we are unable to issue a refund/process an exchange.
Unclaimed
Shipments that go unclaimed and are returned to our facility will be liable for the cost of a reshipment to yourself or your end customer (if and as applicable).
Wrong Address
If you or your end customer provide an address that is considered insufficient by the courier, the shipment will be returned to our warehouse. You will be liable for reshipment costs once we have confirmed an updated address with you (if and as applicable).
We are unable to accept claims for apparel items that have been washed and/or worn. We are unable to accept claims for damages that occurred after receipt of your order.
CD and Vinyl Policies
Unified does not accept responsibility or liability for lacquers that are in route with the currier and not yet at our facility. For any lacquers that are damaged en route to our warehouse we will not replace or absorb the cost and you will be responsible for their replacement.
Unified will also not be able to begin your project without your lacquers in house and we do not accept responsibility for delayed timelines and deliveries for projects delayed by lacquers.
We ship our vinyl and CD’s in sturdy mailers but unfortunately, slight damage can occasionally occur with these items while in transit with the currier. We are unable to issue replacements or refunds for minor cosmetic damage such as creases, bends, split inserts, dings, etc.
Garment Printing Policies
We do not take responsibility for any and all garments provided by customers. By using personal garments you assume the risk of any loss not related to the printing process.
We Require 3%-6% overage on any order that is over 15 units per design, this is to provide us with garments that we can test your print on to assure perfection.
We require all samples that need 1 - 5 Total garments printed to also include 1 extra shirt per each design ( i.e. If you want to print ONE sample you send us TWO garments ). If you decide to forgo this we will not print any tests and you assume the risk and responsibility of any misprints or design flaws and Unified will not be held responsible.
Unified does not accept responsibility or liability for garments that are in route with the currier and not yet at our facility. For any garments that are damaged en route to our warehouse, we will not replace or absorb the cost and you will be responsible for their replacement. If a third party marks a package as delivered we still do not accept responsibility.
Any approval past 5pm PST does not count for the current business day but the next normalbusiness day.
All orders (records and print) may be subject to a billable over/under run (+/- 10% for vinyl, +/- 5% for CD or cassette) based on final totals after quality control is completed.
